Dubai Mainland License: Unlocking Business Opportunities in the UAE
A Dubai Mainland license empowers entrepreneurs to engage in business activities both within and outside the UAE. The Department of Economic Development (DED) in Dubai is the authority responsible for issuing trade licenses to mainland companies. Here are the key features and advantages of a trade license issued by DED:
1. 100% Foreign Ownership: Enjoy the privilege of full foreign ownership, giving you complete control over your business operations.
2. Nationwide Business Operations: Conduct business anywhere across the UAE, providing flexibility and access to a broader market.
3. Ownership and Office Space: Own and lease office spaces within Dubai mainland, facilitating a physical presence for your business.
4. Government Contracts: Explore opportunities to collaborate with government entities, expanding your business prospects.
5. Nationality Restrictions: Encounter fewer nationality restrictions when obtaining a trade license, promoting inclusivity and accessibility.
6. Bank Account Accessibility: Experience ease in opening bank accounts, particularly with traditional banks, streamlining financial transactions.
7. Scalability: Scale your business effortlessly by adding more visas to the trade license, accommodating growth and expansion.
It's worth noting that having a physical office space is not obligatory for company registration in Dubai. Creative Zone offers co-working DED packages, providing a tailored solution to kickstart your entrepreneurial journey.

Business Structures Available Under Dubai Mainland License

Branch Office of Local & Foreign Companies

Companies, whether registered in the UAE or abroad, have the opportunity to establish a branch within Dubai Mainland. To do so, the branch must engage in multiple activities that are included in the parent company’s license.

    Civil Company

A Civil Company is fundamentally a business partnership focused on providing services or professional tasks. Partners from any country can join a Civil Company. However, if partners from the UAE or GCC countries are not included in the partnership, a Local Service Agent (LSA) is required. In a Civil Company, all partners share joint responsibility for any losses or debts incurred from the civil partnership.

    Sole Proprietorship

    • Foreign nationals have the option to maintain complete foreign ownership in their business.
    • A Local Service Agent (LSA) is necessary for business owners who are not UAE nationals. This agent oversees licensing requirements and handles various governmental affairs for the company.
    • The company is legally permitted to offer professional services throughout the UAE.
Steps for Establishing Your Business with a Dubai Mainland License

    1. Select Your Business Activity and Structure

Before establishing a company in Dubai, the crucial first step is to determine the appropriate category and type of your business activity. The UAE offers a choice of over 1,500 business activities. The Department of Economic Development (DED) in Dubai is the authority responsible for regulating all legal business activities in the city.

    2. Register Your Company Name with DED

Pick a unique name for your company, ensuring it doesn’t coincide with existing businesses in Dubai. After selecting and obtaining approval for your name, register it with the DED. This process usually takes about three days.

    3. Apply for a Mainland Trade License

Once your company name is registered, apply for a mainland trade license. Note that the DED prohibits certain commercial activities. The DED is responsible for determining, regulating, classifying, permitting, and licensing all economic activities. The application for a trade license requires various documents, and Creative Zone can assist with this process.

    4. Secure Office or Coworking Space

In the UAE, office spaces are typically third-party owned. The packages and services can be tailored to your needs. Note that the tenancy agreement, Real Estate Regulation Authority (RERA) documents, and EJARI must be submitted after receiving initial DED approval. An office space is not always mandatory; Creative Zone offers more affordable coworking space options.

    5. Prepare Essential Documents like Memorandum of Association (MoA) and Article of Association (AoA)

The MoA is a key document for setting up a company in Dubai, detailing the shares, limitations, and rights of each partner. It must be drafted with precision. Creative Zone’s legal experts can help prepare this document.

    6. Pay Fees and Collect Your License

After finalizing documentation and obtaining approvals, pay the required fees and collect your business license. This license signifies official recognition and legal authorization to operate in Dubai mainland.

    7. Open a Business Bank Account

Following the acquisition of your trade license, the next step is opening a corporate bank account. Modern digital banking makes this process relatively quick, often completed in a few days. Creative Zone’s team of banking professionals can guide you through this process.
